Sub‑Dealer Agreement – EA Trading Pty Ltd

1. Appointment 

EA Trading Pty Ltd appoints the Sub‑Dealer as an authorised reseller of SOTE products in Australia on a non‑exclusive basis. 

 

2. Entry Requirements 

The Sub‑Dealer must: 

Operate within the hair, barbering, or beauty industry 

Place a minimum initial order of AUD $5,000 

Maintain professional business conduct 

 

3. Responsibilities 

The Sub‑Dealer agrees to: 

Sell products responsibly and professionally 

Provide accurate product information to customers 

Maintain the integrity of the SOTE brand 

 

 4. PRICING, BRAND PROTECTION & MARKET CONDUCT 

4.1 Recommended Retail Pricing (RRP) 

EA Trading Pty Ltd may provide a Recommended Retail Price (RRP) for all products. 

The purpose of the RRP is to: 

Maintain brand consistency and market positioning 

Protect product value and perception 

Promote fairness across authorised Sub‑Dealers 

 

4.2 Pricing Conduct 

Sub‑Dealers agree to: 

Maintain professional and responsible pricing practices 

Avoid excessive or misleading discounting that may: 

Damage the brand image 

Devalue the product in the market 

Create instability within the authorised distribution network 

Sub‑Dealers may: 

Set their own resale prices 

Sell products at or above the RRP 

 

4.3 Brand Protection & Price Integrity 

Sub‑Dealers must not engage in conduct that: 

Undermines the perceived quality or positioning of the products 

Uses pricing in a misleading, deceptive, or harmful manner 

EA Trading Pty Ltd reserves the right to: 

Provide guidance on appropriate pricing presentation 

Address pricing behaviour that may harm the brand 

 

4.4 Fair Competition Between Sub‑Dealers 

Sub‑Dealers agree to operate in a manner that promotes a stable and cooperative distribution environment. 

Sub‑Dealers must not: 

Deliberately or aggressively undercut other authorised Sub‑Dealers 

Engage in pricing strategies intended to harm or destabilise another Sub‑Dealer’s business 

Interfere with another Sub‑Dealer’s customers, operations, or reputation 

 

4.5 Non‑Hostile Business Conduct 

Sub‑Dealers are expected to maintain professional respect toward one another 

Competition must remain fair, ethical, and non‑destructive 

 

4.6 Enforcement 

EA Trading Pty Ltd reserves the right to: 

Review complaints regarding pricing or dealer conduct 

Investigate actions that may negatively affect:  

Brand reputation 

Market stability 

Dealer relationships 

Where necessary, EA Trading Pty Ltd may: 

Issue warnings 

Impose conditions 

Suspend or terminate Sub‑Dealer status 

 

5. Territory 

Non‑exclusive 

Sub‑Dealers must not engage in unauthorised parallel importation 

 

6. Branding & Marketing 

Sub‑Dealers must: 

Follow official branding guidelines 

Not alter, repackage, or misrepresent products 

 

7. Training & Product Use 

Products are intended for professional use 

Sub‑Dealers are responsible for ensuring proper use and guidance 

 

8. Warranty Handling 

Products are backed by SOTE (Korea) and Create Group 

Sub‑Dealers must assist customers and coordinate with EA Trading 

 

9. Termination 

EA Trading Pty Ltd may terminate this agreement if: 

Terms are breached 

Conduct damages the brand 

Unethical or harmful business practices occur 

 

10. Liability 

Liability is limited to the maximum extent permitted by Australian law. 

 

11. Governing Law 

This Agreement is governed by the laws of New South Wales, Australia.
